When does the 10-day inspection period start – the day of acceptance of the offer or the day after?

If the offer was written on the West Michigan Regional Purchase Agreement, Paragraph #15 states that all inspections and investigations will be completed within ten (10) days after the Effective Date. The Effective Date is defined in the WMRPA as follows: This Agreement is effective on the date of Seller’s acceptance of Buyer’s offer or Buyer’s acceptance of any counteroffer, as the case may be, and this date shall hereafter be referred to as the “Effective Date”. Further, any reference to “days” in this Agreement refers to calendar days. The first calendar day begins at 12:01 a.m. on the day after the Effective Date. Any reference to “time” refers to local time. Based upon the foregoing, it doesn’t matter if the offer was accepted at 8:00 a.m. or 10:00 p.m., the first day of the inspections and investigations period is the following day (the day after the offer was accepted).
